1. Agreement to Terms

These Terms of Service (“Terms”) form a contract between you and JustSimpleChat, operated by Jayson Espley (“we”, “us”, “our”). By using https://www.justsimple.chat and related services (the “Service”), you agree to these Terms. If you do not agree, do not use the Service. You confirm that you are at least 13 years old (or 16 in the EEA) and that you have authority to bind any organisation on whose behalf you use the Service.

2. Service Description

JustSimpleChat is an AI chat platform that aggregates multiple third-party language models behind a unified interface. The Service may include access to provider models, conversation history, saved prompts, collaboration features, paid plans, early access features, developer APIs, webhooks, and automation utilities where available.

3. Accounts and Security

3.1 Registration

Some features require an account created through Google Sign-In or other supported identity providers. You must provide accurate information and keep it current.

3.2 Security

You are responsible for safeguarding your credentials and any activity on your account. Notify [email protected] of unauthorised use.

3.3 Suspension or termination

We may suspend or terminate accounts that violate these Terms, attempt to circumvent limits, engage in abusive behaviour, or create security or legal risks. You may cancel at any time via settings or by emailing [email protected].

4. Acceptable Use

Use the Service lawfully, and in line with these Terms and all applicable provider policies. Do not:

  • Break laws, infringe intellectual property or privacy rights, or generate unlawful content.
  • Submit content that violates upstream AI provider acceptable use policies.
  • Scrape, reverse engineer, or bypass security, rate limits, or usage caps.
  • Attempt to access accounts or data without permission.
  • Use the Service to send spam or phishing, facilitate fraud, self-harm, or misinformation.
  • Attack or overload infrastructure, or interfere with the Service’s operation.

We may investigate suspected violations and cooperate with law enforcement where required. Non-compliance may lead to content removal, suspension, or legal action.

5. Intellectual Property

5.1 Service IP

We and our licensors own the Service and its content. No rights are granted except those set out here.

5.2 Your content

You retain ownership of content you submit. You grant us a worldwide, non-exclusive, transferable, sub-licensable, royalty-free licence to host, reproduce, modify, and display your content only to operate, protect, and improve the Service.

5.3 AI-generated output

Subject to provider terms and applicable law, you may use AI-generated output for lawful purposes. You are responsible for ensuring that use of output does not infringe rights or break laws. Providers may review prompts or outputs to enforce their policies, and we may filter or block content to comply with those policies or the law.

6. Privacy and Data Protection

Our Privacy Policy explains how we process personal data. By using the Service you consent to that processing. For EEA and UK users we act as controller for account data and as processor for chat content, as described in the Privacy Policy. For data protection enquiries contact [email protected].

7. Subscriptions, Billing, and Refunds

7.1 Free tier

Provided at our discretion and may change or be discontinued.

7.2 Paid plans

Subscriptions are billed in advance on a recurring basis via Stripe. You authorise recurring charges. Prices may change with notice.

7.3 Taxes

You are responsible for applicable taxes. We will add taxes where required by law.

7.4 Cooling-off for consumers

If the UK Consumer Contracts Regulations apply, consumers who buy online have 14 days from the contract date to cancel. Where you ask us to begin providing services during this period, you agree that we may start immediately and acknowledge that we may charge a proportionate amount for services provided up to cancellation. For digital content supplied immediately with your express consent and acknowledgement that you lose the right to cancel, the cooling-off right does not apply.

7.5 Cancellation and renewal

We present key subscription terms clearly at sign-up, send renewal reminders for auto-renewing subscriptions, and provide a simple online cancellation route that can be completed in a few clicks in line with current UK consumer rules.

7.6 Refunds

We consider refunds case by case, in addition to any statutory rights. Contact [email protected] within 14 days of first purchase or if there is a verified service outage affecting you.

7.7 Service levels

Our target is 99.5 percent monthly uptime and a sub-2 second median response time measured at our edge. Exclusions include scheduled maintenance, upstream provider outages outside our control, and force majeure events. If we miss the uptime target, you may request service credits equal to a percentage of your monthly fee. Service credits are your sole and exclusive remedy for service level failures.

8. Third-Party Services and Providers

Use of third-party model providers is subject to their terms and policies. Providers may rate limit, monitor usage, or revoke access. We are not responsible for outages or changes in third-party services.

9. Disclaimers

The Service, including AI-generated content, is provided on an “as is” and “as available” basis. We do not promise that outputs will be accurate, reliable, or suitable for any particular purpose. Generated content is not legal, medical, financial, or other professional advice; you should verify important information independently.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law. If you are a consumer, your statutory rights are not affected.

To the extent permitted by law we will not be liable for indirect or consequential loss, or for loss of profits, data, or goodwill. Our total aggregate liability for all claims relating to the Service will not exceed the fees you paid to us for the Service in the 12 months before the event giving rise to liability.

11. Indemnity

You will indemnify and hold harmless JustSimpleChat, Jayson Espley, and our affiliates, officers, employees, and agents from claims and costs arising from your content, your use of the Service in breach of these Terms, or your violation of third-party rights.

12. Dispute Resolution

12.1 Informal resolution

Contact [email protected]. We will attempt to resolve disputes within 60 days.

12.2 Business users

For business customers, unresolved disputes will be finally resolved by arbitration under the LCIA Rules. The seat will be London and the language English.

12.3 Consumers

If you are a consumer resident in the UK or EEA, arbitration is optional and you may bring claims in the courts of your home country. Nothing in these Terms prevents you from using a small claims court where available.

12.4 Class and representative actions

To the extent permitted by law, business users waive any right to participate in class or representative actions. This waiver does not apply to consumers where such a waiver would be unlawful.

13. Governing Law

These Terms are governed by the laws of England and Wales. Courts in England and Wales have jurisdiction, subject to section 12 above.

14. Changes to Terms

We may modify these Terms. For material changes we will provide at least 30 days’ notice by email or in-product. Continued use after changes take effect means you accept the changes.

15. IP Complaints and Content Takedown

For copyright complaints in the United States, email [email protected] with the notices required by the Digital Millennium Copyright Act. For the UK and other regions, email [email protected] describing the work, the infringing URL, your contact details, and statements confirming your good-faith belief and authority to act. We may remove or disable access to content and close accounts of repeat infringers.

16. Export Controls and Sanctions

You may not use the Service in violation of UK, EU, or US export control laws or sanctions, and you represent that you are not on any sanctions or denied-party list.

17. Anti-Spam

Do not use the Service to send unsolicited messages, harvest data, or create fraudulent accounts. Violations may result in immediate suspension.

18. Google API Services

If you use Google Sign-In or other Google APIs with the Service you also agree to Google’s Terms of Service. We comply with the Google API Services User Data Policy, including the Limited Use requirements. We only use Google-obtained data to provide user-facing features that are prominent in our interface, do not transfer such data except as permitted by the policy, and do not use it for advertising. You can revoke access at any time through your Google account settings.

19. Suspension and Appeals

If we suspend your account we will notify you of the reasons. You may appeal within 30 days by emailing [email protected]. Appeals are reviewed within 14 days and decisions are final.

20. Miscellaneous

  • Severability: If any provision is invalid the remaining provisions remain in effect. We will replace invalid terms with ones that closely match the original intent.
  • Assignment: You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices: We may send notices to your account email address.
